Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MQSync service operated by PE O. Shutkov ("we", "us", "our") at mqsync.com (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

MQSync is a data synchronization platform that connects Memento Database with QuickBooks Online. The Service reads and writes data to third-party systems (QuickBooks, Memento) on your behalf using credentials you provide.

You remain the owner of all data in your QuickBooks and Memento accounts. MQSync acts solely as an intermediary — we do not claim ownership of your business data.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@mqsync.com if you suspect unauthorized access to your account.

You may not share your account with others or create accounts on behalf of someone else without their authorization. Each account corresponds to one individual or legal entity.

3. Free trial

New accounts receive a 14-day free trial with Business-plan features. No credit card is required to start a trial. At the end of the trial, your account moves to the Free plan unless you subscribe. We reserve the right to modify or discontinue the trial offer at any time.

4. Subscriptions and billing

Paid plans are billed monthly. Payments are processed by Paddle, our Merchant of Record. Paddle's terms and refund policies apply to all transactions. By subscribing, you agree to Paddle's Terms of Service.

Subscriptions renew automatically at the end of each billing period. You may cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not offer pro-rata refunds for unused time unless required by applicable law.

If a payment fails, we will notify you by email. Access to paid features may be suspended until payment is resolved. We reserve the right to downgrade or terminate accounts with persistent unpaid balances.

We may change plan pricing with at least 30 days' notice to existing subscribers. Price changes take effect at the next renewal after the notice period.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware, spam, or other harmful content
• Resell or sublicense access to the Service without our written permission
• Use the Service in a way that could damage, disable, or impair its performance
• Circumvent plan limits through technical means

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Your responsibilities

You are solely responsible for:

• The accuracy and legality of the data you sync through the Service
• Maintaining valid subscriptions to QuickBooks Online and Memento Database
• Ensuring your use of the Service complies with Intuit's and Memento's terms of service
• Keeping your QuickBooks and Memento credentials secure and re-authorizing when prompted
• Reviewing sync results and resolving any conflicts flagged by the Service

MQSync syncs data as directed by your configuration. We are not responsible for data errors caused by incorrect mapping configuration, conflicting changes, or third-party API behavior.

7. Data and privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

You grant us a limited, non-exclusive license to access your QuickBooks and Memento data solely for the purpose of performing sync operations as configured by you. This license terminates when you disconnect a connection or delete your account.

8. Service availability

We aim to provide a reliable Service but do not guarantee uninterrupted availability. The Service may be unavailable due to maintenance, infrastructure issues, or third-party outages (QuickBooks API, Memento API). We will make reasonable efforts to notify users of planned maintenance in advance.

We do not offer a contractual uptime SLA on any current plan.

9. Intellectual property

The Service, its source code, design, and content are owned by us and protected by applicable intellectual property law. These Terms do not grant you any rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the Service.

You retain full ownership of your business data at all times.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be error-free, that sync results will be perfectly accurate, or that data will never be lost. You are responsible for maintaining independent backups of your business data in QuickBooks and Memento.

11. Limitation of liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising from your use of or inability to use the Service.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability — in such cases, our liability is limited to the fullest extent permitted by law.

12. Termination

You may close your account at any time from your account settings. Upon closure, your data will be retained for 30 days (recoverable on request) and then permanently deleted, subject to our legal obligations.

We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or if we are required to do so by law. We will make reasonable efforts to notify you before termination except where prohibited or where immediate action is necessary to protect the Service or other users.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the changes, you may close your account before the effective date.

14. Governing law

These Terms are governed by the laws of Ukraine, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ukraine, and you consent to exclusive jurisdiction there.
